Terms of Use

Last updated: October 11, 2026.

These Terms of Use ("Terms") apply to your use of GRADUS. By creating an account or using GRADUS, you agree to these Terms. Our Privacy Policy explains how we handle personal information. If you do not agree to these Terms, please do not use GRADUS.

1. What GRADUS is

GRADUS helps students and industry professionals have short, 20-minute career conversations. Professionals choose whom to invite. Students choose whether to accept.

GRADUS provides technology and marketplace services that facilitate introductions, scheduling, payments and communications between users. GRADUS is not a party to the conversations themselves and is not responsible for the substance or quality of the advice, information or services exchanged between users, subject to any rights that cannot legally be excluded.

2. No professional advice

GRADUS only facilitates conversations. GRADUS does not provide career, employment, recruiting, financial, investment, legal, tax, accounting, medical or any other professional advice.

Any opinions, suggestions, experiences, information or advice shared by users belong to those users alone and do not represent GRADUS. GRADUS does not review, approve, endorse or guarantee the accuracy, completeness, suitability or outcome of information provided during conversations or on the platform.

You are responsible for independently evaluating any information you receive and for obtaining advice from a qualified professional when appropriate. You should not make employment, financial, investment, educational, legal or other significant decisions based solely on information obtained through GRADUS.

Using GRADUS does not create an advisory, fiduciary, employment, recruiting, agency, partnership, professional-client or similar special relationship between GRADUS and any user, or between users.

3. No guarantee of opportunities or outcomes

GRADUS does not guarantee any job, internship, interview, referral, recommendation, offer, admission, promotion, compensation level, business opportunity, investment return, professional relationship or any other result. A conversation is a conversation.

Professionals have no obligation to recruit, hire, refer, recommend, invest in or assist a student beyond the conversation booked through GRADUS.

4. Professionals and their employers

Unless expressly stated otherwise, professionals participate in their personal capacity. Their statements do not represent the views of their current or former employers.

An employer, school or organization appearing on a user's profile does not mean that the organization employs that user today, endorses or sponsors GRADUS, or is affiliated with GRADUS in any way. Users must not suggest otherwise.

5. Profile information and verification

GRADUS may collect profile information such as education, employers, roles and experience. Unless GRADUS expressly states that a specific item has been verified, GRADUS does not guarantee that user-provided information has been independently verified. GRADUS does not conduct background checks.

You are responsible for the accuracy of the information you submit and for keeping it reasonably up to date.

6. Your account

Please provide accurate information about yourself and keep your login details to yourself. You are responsible for activity on your account. GRADUS is currently available only to people based in Canada.

7. Your conduct and interactions

You are responsible for your own conduct and for your interactions with other users, on and off GRADUS. Treat other people with respect. You must not:

  • harass, threaten, intimidate, bully or abuse anyone;
  • discriminate against anyone on a ground protected by applicable human rights law;
  • commit fraud, impersonate anyone or misrepresent your identity, background or affiliations;
  • send spam or use GRADUS for unsolicited marketing;
  • collect, scrape or misuse other users' information;
  • interfere with the security or operation of GRADUS; or
  • use GRADUS for any unlawful purpose or in breach of these Terms.

You are responsible for what you choose to discuss and share in a conversation.

8. Confidential and restricted information

You must not request, disclose, obtain, use or distribute through GRADUS any confidential employer information, trade secrets, proprietary information, client or customer information, credentials or passwords, sensitive personal information about others, or any information you are legally or contractually prohibited from sharing.

You must not request or share material non-public information or other insider information about any company or security.

You are responsible for making sure you are permitted to disclose anything you share.

9. Payments, fees and payouts

GRADUS facilitates paid 20-minute conversations. Professionals set their conversation price within the range GRADUS allows. The price shown on an invitation is locked when the invitation is sent. Students pay the displayed price through GRADUS's payment provider at booking.

GRADUS retains a platform fee from each payment and remits the remainder to the professional. Professionals receive their share after the conversation, not instantly.

Refunds, cancellations, rescheduling and no-shows are governed by our Refund & Cancellation Policy, which forms part of these Terms, and by the details displayed at booking. If a booked time can no longer be confirmed after payment, the payment is refunded.

GRADUS may withhold, delay, reverse or adjust payouts where reasonably necessary to address refunds, disputes, chargebacks, suspected fraud, legal compliance or payment-provider requirements.

10. Taxes

Professionals are responsible for determining, reporting and paying any taxes arising from amounts they receive through GRADUS, including income taxes and GST/HST where applicable, except where GRADUS is legally required to collect, withhold or remit amounts.

11. No circumvention

You must not intentionally use GRADUS to find or connect with another user and then arrange substantially equivalent paid conversations outside GRADUS for the primary purpose of avoiding GRADUS fees.

This does not restrict ordinary professional or networking relationships that develop naturally after a completed conversation.

12. Independent users

Professionals and students are independent users. Using GRADUS does not make anyone an employee, agent, contractor, partner, franchisee, joint venturer, fiduciary or representative of GRADUS. No user has authority to bind GRADUS or act on its behalf.

13. Third-party services

GRADUS relies on third-party services, including payment providers such as Stripe, video-conferencing tools, calendar services, email providers and external websites linked from GRADUS. These services have their own terms and privacy practices, which apply to your use of them.

To the extent permitted by law, GRADUS is not responsible for the acts, omissions, outages, security incidents or service failures of third-party services.

14. Suspension and termination

GRADUS may investigate suspected violations and may suspend, restrict or terminate accounts, cancel transactions or limit access where reasonably necessary because of fraud, abuse, safety concerns, repeated chargebacks, misrepresentation, violations of these Terms, legal or compliance requirements, or conduct that creates material risk for users or GRADUS.

15. Availability and changes to GRADUS

GRADUS is in a pilot. We do not guarantee that GRADUS will be uninterrupted, error-free, secure or always available. We may maintain, modify, suspend or discontinue features for operational, security, legal or business reasons.

16. Indemnity

Subject to applicable law, you agree to indemnify, defend and hold harmless GRADUS and its founders, partners, officers, personnel and affiliates from third-party claims, and related reasonable costs, to the extent they arise from your unlawful conduct, your misuse of GRADUS, your content, your infringement of another person's rights, or your breach of these Terms.

17. Limitation of liability

To the maximum extent permitted by law, GRADUS and its founders, partners, officers, personnel and affiliates will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of opportunity, profit, revenue or data, arising from or related to GRADUS or any conversation.

To the maximum extent permitted by law, GRADUS's total liability for all claims arising from or related to GRADUS is limited to the greater of (a) the amounts you paid to GRADUS in the 12 months before the event giving rise to the claim, and (b) $100 CAD.

These limits do not apply to liability that cannot be excluded or limited under applicable law.

18. Your consumer rights

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under applicable Canadian law, including the Ontario Consumer Protection Act, 2002, where it applies. If any part of these Terms is found unenforceable, the rest remains in effect.

19. Changes to these Terms

Features may change as we learn, and we may update these Terms. We will change the date at the top when we do. Continuing to use GRADUS after an update means you accept the updated Terms.

20. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to GRADUS or these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.

Subject to any mandatory rights you may have under applicable consumer protection or other laws, you and GRADUS submit to the exclusive jurisdiction of the courts of Ontario, Canada. Nothing in this section waives any non-waivable consumer right or statutory protection, or prevents you from bringing a claim in another forum where applicable law gives you that right.
